1 Acceptance of Terms
By accessing, browsing, or using the ReqVise ERP platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you ("User") and VCNR Technologies Pvt Ltd ("Company", "we", "us", or "our").
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
Your continued use of the Platform following any modifications to these Terms shall constitute your acceptance of such modifications. We recommend reviewing these Terms periodically to stay informed of any updates.
2 Account Responsibilities
As a registered user of the ReqVise ERP platform, you are responsible for maintaining the security and confidentiality of your account. Specifically, you agree to:
- Maintain confidentiality of credentials: Keep your username, password, and any multi-factor authentication tokens secure. Do not share your login credentials with any third party under any circumstances.
- Authorized use only: Ensure that only authorized personnel within your organization access the Platform using your account credentials. Access must be consistent with the role and permissions assigned to your account.
- Report unauthorized access: Notify the Company immediately, and in no event later than 24 hours, upon discovering any unauthorized access to your account, any security breach, or any suspected compromise of your credentials by contacting [email protected].
- Account activity responsibility: You are responsible for all activities that occur under your account, whether or not authorized by you. The Company shall not be liable for any loss or damage arising from your failure to safeguard your account information.
The Company reserves the right to suspend or terminate any account that is found to be in violation of these responsibilities without prior notice.
3 Permitted Use
The Platform is provided solely for legitimate business purposes. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Platform for the following purposes:
- Enterprise procurement management: Managing purchase requests, request for quotations (RFQs), vendor bidding processes, reverse auctions, negotiations, purchase orders, and related procurement workflows.
- Internal business operations: Utilizing CRM, project management, engineering, delivery, and finance modules as part of your organization's standard operational workflows.
- Authorized data processing: Processing, storing, and managing business data in accordance with applicable data protection laws and your organization's data governance policies.
- Integration with approved third-party systems: Connecting the Platform with pre-approved external systems, APIs, and services as documented in the Platform's integration specifications and authorized by the Company.
Any use of the Platform beyond the scope described above requires prior written authorization from the Company.
4 Prohibited Activities
You agree not to engage in any of the following prohibited activities while using the Platform:
- Unauthorized access attempts: Attempting to gain unauthorized access to any portion of the Platform, other user accounts, computer systems, or networks connected to the Platform through hacking, password mining, or any other illegitimate means.
- Data scraping or extraction: Using automated tools, bots, scrapers, or any other technology to extract, harvest, or collect data from the Platform without the Company's explicit written consent.
- Sharing credentials: Sharing, transferring, or disclosing your account credentials to any unauthorized individual, or allowing multiple individuals to use a single account unless explicitly permitted under your license agreement.
- Circumventing security measures: Attempting to bypass, disable, or interfere with any security features, access controls, encryption mechanisms, or other protective measures implemented on the Platform.
- Uploading malicious content: Uploading, transmitting, or distributing any files, software, or content that contains viruses, trojans, worms, malware, ransomware, or any other harmful or destructive code.
- Reverse engineering: Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code, underlying algorithms, or architecture of the Platform or any of its components.
Violation of any of these prohibitions may result in immediate termination of your access, legal action, and liability for damages incurred by the Company or other users.
5 Intellectual Property
Company Rights: All intellectual property rights in and to the Platform, including but not limited to software, design, logos, trademarks, documentation, and all related materials, are and shall remain the exclusive property of VCNR Technologies Pvt Ltd. All rights not expressly granted herein are reserved by the Company.
User-Generated Data: You retain all ownership rights to the data and content you create, upload, or input into the Platform ("User Data"). By using the Platform, you grant the Company a limited, non-exclusive license to process, store, and display your User Data solely for the purpose of providing and improving the Platform's services.
License Grant: Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, and non-transferable license to access and use the Platform for your internal business purposes. This license does not include the right to sublicense, modify, adapt, or create derivative works based on the Platform.
6 Limitation of Liability
Indirect Damages: To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Platform.
Maximum Liability: In no event shall the Company's total aggregate liability to you for all claims arising out of or related to these Terms or your use of the Platform exceed the total amount of fees paid by you to the Company during the twelve (12) months immediately preceding the event giving rise to such liability.
Force Majeure: The Company shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet service provider failures, or third-party service disruptions.
7 Termination
Termination by Either Party: Either party may terminate this agreement by providing thirty (30) days' prior written notice to the other party. Notice of termination must be sent to the designated contact address or through the Platform's administrative interface.
Immediate Termination: The Company reserves the right to immediately suspend or terminate your access to the Platform without prior notice if you are found to be in material violation of these Terms, including but not limited to engaging in prohibited activities, breaching security protocols, or failing to pay applicable fees.
Post-Termination Data Access: Following termination, you will have a period of thirty (30) calendar days to export your User Data from the Platform. After this period, the Company reserves the right to permanently delete your User Data in accordance with its data retention policies. The Company will provide reasonable assistance in facilitating data export upon request.
8 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes, controversies, or claims arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
Both parties agree to submit to the personal and exclusive jurisdiction of such courts and waive any objection based on venue or inconvenient forum. Prior to initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of not less than thirty (30) days.
9 Changes to Terms
The Company reserves the right to modify, amend, or update these Terms at any time. Any material changes to these Terms will be communicated to you at least thirty (30) days in advance through one or more of the following methods: email notification to your registered address, an in-app notification banner, or a posting on the Platform's legal notices page.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Platform before the changes take effect and may request termination of your account in accordance with Section 7.
